The Port of Seattle Commission herby appoints and confirms Christina Gehrke to serve a three-13
year term as a public member on the commission’s Audit Committee effective immediately and 14
ending December 31, 2022. 15

STATEMENT IN SUPPORT OF THE MOTION 17

In accordance with Article V, Section 1, of the Port of Seattle Commission Bylaws, the commission 19
may from time to time establish standing or special committees as needed for the transaction of 20
business. The Audit Committee is a currently constituted standing committee under these 21
provisions the purpose of which is to represent the commission and exercise review and 22
oversight on matters relating to Port of Seattle auditing processes and procedures. 23

The Audit Committee is composed of two port commissioners and one non-commissioner, who 25
participates as an independent public member with the accounting and auditing qualifications 26
described in the charter of the committee. The public member is appointed and confirmed by 27
the port commission and serves in an advisory capacity for a three-year term as described in the 28
committee charter. The position is a valuable addition to the sessions of the Audit Committee, 29
and is a voluntary public service on the part of public member. 30

Since 2011, the Commission has enjoyed the service of Christina Gehrke as its Audit Committee 32
public member. Ms. Gehrke is a highly experienced auditor, having served at the Federal Home 33
Loan Bank as Senior Vice President and Chief Administrative Officer for eight years, managing the 34
bank’s Sarbanes-Oxley compliance program and audit services. She is currently the Senior VP, 35
CAO for Sound Community Bank and Principal Faculty for City University of Seattle, teaching 36
courses in auditing, accounting, and finance at graduate and undergraduate levels. 37

She has provided invaluable expertise to the Audit Committee and has contributed to 39
strengthening its role at the Port of Seattle. Ms. Gehrke has indicated her interest in continuing 40
to participate on the Audit Committee for a fourth three-year term, ending December 31, 2022. 41
The commission is pleased to avail itself of her services. 42
