A RESOLUTION of the Port Commission of the Port of Seattle declaring surplus

and no longer needed for port district purposes certain

overpass structure and real property located south of

South Spokane Street in the vicinity of Duwamish Avenue

in the City of Seattle, Washington, and authorizing the
7
Chief Executive Officer to execute all documents necessary
8
to transfer title of the surplus property to the City of
9
Seattle for use in furtherance of the East Marginal Way
10
Grade Separation project.

WHEREAS, the voters of King County, pursuant to the provisions of enabling legislation
13
adopted by the Legislature of the State of Washington, Chapter 92, Laws of 1911, RCW
14
53.04.010, authorized and approved at a special election held in King County on the 5th day of
15
September 1911, the formation of a Port District coextensive with King County to be known as
16
the Port of Seattle; and
17

WHEREAS, the Port of Seattle was thereupon established as a port district and has since
19
been and now is a duly authorized and acting port district of the State of Washington; and
20

WHEREAS, the Port owns the real property described on attached Exhibit A (the
22
“Property”); and

WHEREAS, the City of Seattle (“City”) has agreed to take title to the Property in
25
accordance with the Memorandum of Agreement between the parties dated July 23, 2014 (the
26
“MOA”); and

WHEREAS, Chapter 39.33 of the Revised Code of Washington provides that the Port
29
may “sell, transfer, exchange, lease or otherwise dispose of any property to the state or any
30
municipality or any political subdivision thereof on such terms and conditions as may be
31
mutually agreed upon …”; and

WHEREAS, the maps and other data regarding the Property are on file at the Port’s
34
offices; and

NOW, THEREFORE, BE IT RESOLVED by the Port of Seattle Commission as follows:

SECTION 1. The Property described on Exhibit A attached to this Resolution is no longer

needed for Port of Seattle purposes and is declared surplus to Port needs.

SECTION 2. The Executive Director is authorized to take all steps and execute all documents
45
necessary to transfer title of the Property to the City of Seattle.

ADOPTED by the Port of Seattle Commission at a duly noticed meeting thereof, held this
