PPOINTING AND CONFIRMING A PUBLIC
MEMBER OF THE COMMISSION’S AUDIT
COMMITTEE FOR 2017-2019

TEXT OF THE MOTION
The Commission hereby appoints and confirms Christina Gehrke to serve a three-year term as a
public member on the Commission’s Audit Committee effective immediately and ending
December 31, 2019.
STATEMENT IN SUPPORT OF THE MOTION
In accordance with Article III, Section 6, of the Port of Seattle Commission Bylaws, the
Commission may from time to time establish standing and temporary committees as needed to
conduct specialized work. The Audit Committee is a currently constituted standing committee
under these provisions the purpose of which is to represent the Commission and exercise review
and oversight on matters relating to Port of Seattle auditing processes and procedures.
The Audit Committee is composed of two Port Commissioners and one non-Commissioner, who
participates as an independent public member with the accounting and auditing qualifications
described in the charter of the committee. The public member is appointed and confirmed by the
Port Commission and serves in an advisory capacity for a three-year term as described in the
committee charter. The position is a valuable addition to the sessions of the Audit Committee,
and is a voluntary public service on the part of public member.
Since 2011, the Commission has enjoyed the service of Christina Gehrke as its Audit Committee
public member. Ms. Gehrke is a highly experienced auditor, having served at the Federal Home
Loan Bank as Senior Vice President and Chief Administrative Officer for 8 years, managing the
bank’s Sarbanes-Oxley compliance program and audit services. She is currently the Senior VP,
CAO for Sound Community Bank and Principal Faculty for City University of Seattle, teaching
courses in auditing, accounting, and finance at graduate and undergraduate levels.
She has provided invaluable expertise to the Audit Committee and has contributed to
strengthening its role at the Port of Seattle. Ms. Gehrke has indicated her interest in continuing
to participate on the Audit Committee for a third three-year term, ending December 31, 2019.
The Commission is pleased to avail itself of her services.
